The mission of The Australian Foundation for Mental Health Research:

To fund scientifically researched community initiatives and interventions for mental health problems and to promote mental health literacy and stigma reduction through national mental health awareness-raising activities.

Recitals:

A.
The University has established an Endowment for Excellence pursuant to the provisions of the Australian National University Endowment for Excellence statute ("Statute") and the Endowment for Excellence rules ("Rules") made under the Statute.

B.
The Centre for Mental Health Research proposes to sponsor a foundation as a foundation of the University pursuant to Rule 23 of the Rules to the known as The Australian Foundation for Mental Health Research ("Foundation") for the purpose of receiving donations made in favour of the Centre for Mental Health Research

C.
The object and functions of the Foundation are to be:

To promote and support mental health in the community through research, training, prevention, community education and policy development through activities of the Centre for Mental Health Research.
Promote scholarship, teaching and research at the Centre for Mental Health Research into mental health.

Operative provisions:


 

 

1.1.
In this charter unless the contrary intention appears:

a reference to a clause or schedule is a reference to a clause of or schedule to this charter and references to this charter include any recital or schedule;
a reference or a statute, ordinance, code or other law includes regulations and other instruments under it and consolidations, amendments, re-enactments or replacements of any of them;
the singular includes the plural and vice versa;
the word person includes a firm, a body corporate, an unincorporated association or an authority;
a reference to a person includes a reference to the person's executors, administrators, successors, substitutes (including, but not limited to, persons taking by novation) and assigns.
a word or phrase used in this charter that has a defined meaning in the Statute or Rules has the same meaning when used in this charter.

1.2.
Headings are inserted for convenience and do not affect the interpretation of this charter.

2.1.
The Foundation is established as a Foundation of the University under the Statute and Rules for the purpose of enabling the University to:

To promote and support mental health in the community through research, training, prevention, community education and policy development through activities of the Centre for Mental Health Research
Promote scholarship, teaching and research at the Centre for Mental Health Research into mental health.

2.2.
The University may apply capital as well as income of the Foundation for the Objects and Functions
.

3.1.
The monies of the Foundation may be invested by the University in any investment or manner in which the Council of the University has authorised the investment of the University's funds, including investing the monies of the Foundation in any endowment, foundation or other fund established under a Statute of the University.

4.1.
The Foundation has a Governing Body:

The Chancellor;
The Vice-Chancellor; or
their respective nominees.

4.2.
The Council of the University may by resolution approve such further number and names of Directors (up to a maximum of seven) as the Council sees fit, of whom one is to be nominated as the Principal Director of the Foundation. The approval of Directors by Council is to be granted at the time when the Council resolves to approve the contents of this Charter in accordance with section 24(1) of the Rules.

4.3.
The appointment of the first Principal Director must be noted by the Directors at their first meeting following approval of this charter by the Council.
